These terms govern the use of the Plyb customer area and the purchase of Plyb TV licenses through it. By creating an organisation in the customer area, or by using it, you accept them on behalf of your organisation.

1. Who provides the service

Plyb is the trade name under which Pablo Barranco Céspedes operates, in Málaga (Spain). Contact: soporte@plyb.es.

2. Who it is for

The service is for companies, professionals and public bodies. It is not aimed at consumers. Whoever accepts these terms declares that they act on behalf of their organisation and have the authority to bind it.

3. What the customer area is

It is the portal where your organisation:

views its Plyb TV licenses, downloads them and sees which installations they are activated on;
views its orders and downloads its invoices;
requests new licenses or renewals, and transfers licenses to another organisation;
manages its details and the people who have access.

Plyb TV is a product installed on the customer's own servers. Its use is governed by the terms agreed between the customer and Plyb; these terms govern the customer area and the management of licenses.

4. Access and accounts

You sign in with a Google or Microsoft account. Each person is responsible for the security of their account; we recommend enabling two-step verification.
Everyone in an organisation has the same permissions: they can view its data, request licenses, transfer them, turn on automatic renewal, invite other people and remove their access. The organisation is responsible for what the people it gives access to do, and must remove that access when they no longer need it.
The details the organisation provides (legal name, tax ID, address, contact) must be true and up to date: they are used to issue invoices.

5. Licenses

Each license allows Plyb TV to be used for the contracted period, normally one year, and expires at the end of it unless renewed.
To remain active, the Plyb TV installation must be able to connect to Plyb periodically to renew the validity of its licenses. If too long passes without connecting, the licenses stop working until it connects again.
A license is used on one installation at a time. If the same installation is detected as duplicated, Plyb may block it and release its licenses, after contacting the organisation.
Licenses may not be resold or assigned other than through the customer area's transfer mechanism.

6. Orders, prices and payment

Orders are created by Plyb after agreeing them with the organisation, or by the system itself if the organisation has turned on automatic renewal (section 7).
Each order states the licenses, the period, the price, any discounts and the applicable taxes. Prices exclude taxes unless stated otherwise.
An invoice is issued with each order and can be downloaded from the customer area.
Payment is made by bank transfer, using the details shown on the order, within 60 days of its date.
The licenses of an order work from the moment they are issued, even while the order is unpaid. If the payment period expires without payment, Plyb may cancel the order, issue the corrective invoice and revoke its licenses, and will not automatically renew other licenses while a payment is overdue.
An unpaid order may be cancelled by mutual agreement: the corrective invoice is issued and its licenses are revoked or, if it was a renewal, go back to their previous date.
An order that has been paid is not refunded: the licenses are available and can be used from the moment they are issued. This does not affect what applies if Plyb breaches these terms, or what the law requires.

7. Automatic renewal

Automatic renewal is optional and off by default. The organisation turns it on from the customer area and can turn it off at any time. With it on:

Thirty days before the licenses expire, Plyb emails the date and the amount of the renewal.
Seven days before, the one-year renewal order and its invoice are created, on the terms of the organisation's last order: same price per license, discount and taxes.
Only the licenses the organisation itself paid for are renewed.
Nothing is charged automatically: the order is paid by bank transfer, like any other.
If it is turned off after the order has been created, the order is not cancelled by itself: you must ask Plyb to cancel it before paying it.

By turning it on, the organisation agrees that Plyb issues those orders and invoices without an express request each time.

8. License transfers

An organisation can transfer licenses to another one through a single-use link. The transfer is completed when the other organisation accepts it; from then on the licenses are theirs and the original organisation can no longer use them. Whoever transfers is responsible for sending the link to the right recipient.

9. Acceptable use

It is not allowed to:

access other organisations' data or attempt to bypass the security measures of the customer area or of the licensing system;
copy, modify or forge licenses, or use them on more installations than contracted;
use the customer area in a way that affects how it works for others.

Plyb may suspend access or revoke licenses in the event of a serious breach, notifying the organisation unless urgency prevents it.

10. Availability and support

Plyb aims to keep the customer area continuously available, but does not guarantee any specific level of availability and may interrupt it for maintenance. An interruption of the customer area does not stop Plyb TV installations, which keep working with their licenses for the margin provided for that purpose.

Support is provided by email at soporte@plyb.es. Plyb will try to resolve incidents as soon as possible, without committing to support hours or a response time.

11. Intellectual property

Plyb TV, the customer area, their trademarks and their documentation belong to Plyb or its licensors. These terms grant no rights over them beyond the use of the contracted licenses.

12. Liability

Plyb is liable for damage it causes through wilful misconduct or gross negligence.
In all other cases, and to the extent permitted by law, its total liability towards an organisation is limited to the amount that organisation paid Plyb in the twelve months before the event.
Plyb is not liable for loss of profit or indirect damage, for the content the customer displays with Plyb TV, or for the operation of the customer's servers, networks and screens.

13. Data protection

The processing of personal data is explained in the privacy policy. If Plyb processes personal data on behalf of the organisation, the parties will sign the corresponding data processing agreement.

14. Term and cancellation

These terms apply for as long as the organisation uses the customer area or holds licenses in force. The organisation can ask to close its account by writing to soporte@plyb.es; unpaid orders, and the records the law requires to be kept, will remain.

15. Changes to the terms

Plyb may amend these terms. Relevant changes will be announced in the customer area or by email at least 30 days in advance. Orders already issued are governed by the terms in force when they were created.

16. Governing law and jurisdiction

These terms are governed by Spanish law. For any dispute, the parties submit to the courts of Málaga, unless a mandatory rule provides otherwise. If the customer is a public body, the administrative contract and public procurement rules prevail.
